Terms of Service

Effective Date: 2026-05-26 · Service: AI Cockpit (the "Service")

These Terms of Service ("Terms") govern your access to and use of AI Cockpit ("Service"), operated by Nova Edge LLC ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

Read carefully: AI Cockpit is an agentic AI assistant that, with your authorization, can modify data in your TikTok Shop account (prices, inventory, listings) and incur LLM inference costs on your behalf. You remain responsible for all actions performed under your account.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using the Service, you represent that you meet these requirements.

2. Account & Access

The Service is currently in closed beta and is available by invitation only. You must use a valid invite code to register.
You are responsible for safeguarding your credentials and for all activity under your account.
You agree to provide accurate registration information.
One account per person; you may not share, sell, or sublicense your account.
We may suspend or terminate accounts for violation of these Terms or applicable law.

3. Service Description

AI Cockpit provides:

An AI assistant (powered by third-party LLM providers) that can query and modify your TikTok Shop products, prices, and inventory upon your instruction;
A video generation pipeline (HitBone) that produces short-form product videos using a multi-agent workflow and the Seedance generation API;
Operational dashboards summarizing your shop performance.

The Service relies on third-party APIs (TikTok Shop, Anthropic, Google Gemini, Seedance, etc.) whose availability and accuracy are outside our control.

4. AI Output Disclaimer

Outputs of large language models can be incorrect, hallucinated, biased, or otherwise unreliable. You must independently review all AI-generated suggestions, scripts, and proposed actions before allowing the assistant to execute mutating operations. Mutating tools provide a dry_run preview mode; we strongly recommend you use it. We are not liable for losses, lost sales, reputational harm, or other damages arising from AI outputs you choose to apply.

5. TikTok Shop Integration

You authorize us, via TikTok's OAuth flow, to access and modify data in your TikTok Shop only at your instruction.
You are responsible for ensuring that your use of the Service complies with TikTok's Developer Policies, TikTok Shop Seller Terms, and all applicable laws in the markets where your shop operates.
You can revoke our access at any time from your TikTok account; doing so will end Service functionality that relies on TikTok access.

6. Acceptable Use

You agree NOT to:

Use the Service for any illegal or fraudulent purpose;
Reverse-engineer, decompile, or attempt to extract source code, model weights, prompts, or API keys;
Probe, scan, or test the security of the Service without our prior written authorization;
Interfere with or disrupt the Service or its underlying infrastructure;
Use the Service to send spam, harass others, or violate third-party rights;
Use automated means to create multiple accounts or circumvent rate limits, cost caps, or invite controls;
Misrepresent your identity or attempt to access another user's account or data;
Train any third-party model on the Service's outputs in violation of Anthropic's or other providers' terms.

7. Fees, Subscriptions, and Refunds

The closed beta is currently provided free of charge. Paid plans will be introduced in the future; we will give at least 30 days' notice before fees are charged to your account.

For paid plans (when applicable):

Subscriptions: billed in advance on a monthly or annual basis through our payment processor.
Refunds: a 7-day refund window applies to the first paid invoice of new subscriptions. After that, fees are non-refundable except where required by law.
Taxes: stated prices exclude applicable taxes; you are responsible for any taxes due in your jurisdiction.
Price changes: we may change pricing with at least 30 days' written notice; changes apply to your next billing cycle.
LLM and third-party costs: when you bring your own Anthropic / Gemini / Seedance keys, you are responsible for the third-party charges. When using shared platform credits (if offered), per-user cost caps apply.

8. Intellectual Property

The Service, including its software, prompts, AI orchestration logic, and visual design, is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain all rights to: your TikTok Shop data; product images and videos you upload; account information; and outputs generated by the AI from your prompts (subject to the underlying model provider's usage terms).

9. Confidentiality & Data Handling

Our handling of personal data is governed by our Privacy Policy. We do not use your TikTok Shop data, prompts, or AI outputs to train any model.

10. Suspension & Termination

We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent or harmful behavior, or if continuing to provide the Service is no longer commercially viable. You may terminate your account at any time by emailing admin@aicockpit.io.

On termination: (a) your right to use the Service ends; (b) we will delete your account data per our Privacy Policy retention schedule; (c) any fees already paid are non-refundable except where required by law; (d) sections that by their nature should survive termination (IP, indemnification, limitation of liability, governing law) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) US$100, OR (B) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nova Edge LLC, its affiliates, and their officers, directors, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your TikTok Shop content; (c) your violation of these Terms or applicable law; (d) AI-generated actions you authorize that result in third-party claims.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction and venue there.

15. Changes to These Terms

We may modify these Terms. Material changes will be announced through the Service or by email at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
